General Terms of Use

TERMS OF SERVICE – AIYBIZ

1. Purpose and Legal Qualification

These Terms of Service (ToS) govern the access and use of the Aiybiz marketplace. Aiybiz acts exclusively as a technical intermediary connecting AI agent creators ("Builders") with customers ("Clients"). Aiybiz is not a party to the rental agreement concluded between the Builder and the Client.

2. Acceptance and Eligibility

By using the platform, the User accepts these ToS without reservation. Users must be at least 18 years of age or a legally registered entity.

3. Account Access and Security

Registration requires accurate information. The User is solely responsible for maintaining the confidentiality of their credentials and for all activities occurring under their account. Any suspicious activity must be reported to Aiybiz immediately.

4. Status and Liability of Builders

Builders act as independent publishers and retain full responsibility for their agents. They specifically guarantee:

  • Compliance and Security: The agent complies with applicable laws (including the EU AI Act) and contains no malicious code.
  • Infrastructure: The Builder is responsible for the hosting and technical maintenance of the agent.
  • Performance: The Builder is solely responsible for the accuracy and reliability of the results provided.

Important Note: Aiybiz does not host the Builders' agents, does not control their source code, and declines all liability for any malfunction, error, or damage caused by a third-party agent.

5. Agents Published by Aiybiz

By way of derogation, Aiybiz assumes responsibility for agents it publishes directly, which are explicitly identified as such on the platform.

6. Financial Terms

Transactions are processed by a third-party payment service provider (e.g., Stripe Connect).

  • Payment Mandate: Aiybiz collects a commission on each transaction in exchange for its connection services.
  • Disclaimer: Aiybiz shall not be held liable for payment failures or financial disputes between Users.

7. Intellectual Property

  • Agent Ownership: The AI agent and its architecture remain the exclusive property of the Builder.
  • Generated Content: Subject to full payment of rental fees, ownership of the results (outputs) generated by the agent is transferred to the Client for personal or commercial use, unless otherwise specified by the Builder.
  • Aiybiz License: Users grant Aiybiz a royalty-free right to use agent names and descriptions for the promotion of the marketplace.

8. Prohibited Conduct

It is forbidden to use agents to generate illicit, hateful, or defamatory content, or content that violates intellectual property rights. Aiybiz reserves the right to suspend any account or remove any agent in the event of a violation.

9. Personal Data

Data processing is carried out in accordance with the GDPR and Aiybiz's Privacy Policy. Builders are responsible for the GDPR compliance of data processed specifically by their agents.

10. Limitation of Liability

Aiybiz does not guarantee uninterrupted access to the platform. Its liability is limited to direct damages related to the technical functioning of the marketplace itself, excluding any indirect damages or damages related to Builders' agents.

11. Amendments and Termination

Aiybiz may modify the ToS at any time. Continued use after notification constitutes acceptance. Either party may close their account according to the platform's technical procedures.

12. Governing Law and Jurisdiction

These ToS are governed by French law. In the event of a dispute, and following an attempt at an amicable resolution, exclusive jurisdiction is granted to the Courts of Paris, notwithstanding multiple defendants or third-party appeals.
